tZERO plans public listing through $350 million blank-check merger
The tokenized-securities platform has signed a deal with FG Imperii Acquisition Corp. that values it at $350 million before new money. Shareholder votes and an SEC registration still stand between it and a listing.
tZERO plans public listing through $350 million blank-check merger
tZERO, a company that runs trading and settlement systems for securities issued as blockchain tokens, plans to go public by merging with an already-listed shell company, in a deal that values it at $350 million but leaves open how much cash it will actually get. The companies announced the agreement Monday in a filing with the Securities and Exchange Commission accepted at 9:10 a.m. EST [1][2][4].
Whether that cash arrives, and whether the deal closes at all, are both still open. The agreement is signed; the listing is not live.
The mechanism
The partner is FG Imperii Acquisition Corp., a special purpose acquisition company, or SPAC: a company with no operations that raises money from investors in an initial public offering and then has a limited time to buy a private business [2]. Its shares trade on Nasdaq under FGII [2].
A SPAC's money sits in a trust account, a ring-fenced pot that can be used only for a deal or returned to investors. Here the release says "the combined company may receive up to approximately $231 million of cash held in FG Imperii's trust account, subject to redemptions by FG Imperii's public shareholders and before transaction expenses" [2]. A redemption is a SPAC shareholder's right to hand back shares for a cash refund instead of joining the merged company. Every dollar redeemed is a dollar that never reaches tZERO, so the $231 million is a ceiling, not a commitment.
The deal also has a forward purchase, an agreement by an investor to buy shares at closing, which can backfill cash lost to redemptions. That piece is not final. The release says an FG Imperii affiliate "entered into a term sheet for a forward purchase agreement from FG Merchant Partners LP," and that the company "has agreed to enter into the forward purchase arrangement with FG Merchant Partners LP (subject to definitive documentation)," covering "up to 2.5 million shares" [2].
Existing owners are not cashing out. "Existing tZERO shareholders are expected to roll 100% of their equity interests into the combined company," the release says [2]. A rollover means they swap their tZERO shares for shares of the merged company rather than selling.
The evidence
The release states the headline value as "a pre-money equity valuation of $350 million, including up to $25 million to be realized upon the achievement of specified milestones" [2]. The 8-K shows how that is built: "Merger Consideration" of shares worth "$325,000,000," with each share valued at "$10.00," plus "2,500,000 shares" of "Company Earn-out Shares" held in escrow [1]. By Le Coin's arithmetic, 2.5 million shares at $10 is the $25 million.
| Term | Amount | Filing wording |
|---|---|---|
| Pre-money equity valuation | $350M | "including up to $25 million to be realized upon the achievement of specified milestones" [2] |
| Merger consideration at closing | $325M | shares "valued at $10.00" [1] |
| Earn-out shares in escrow | 2,500,000 | released "upon the achievement of" milestones [1] |
| Cash in SPAC trust | up to ~$231M | "subject to redemptions ... and before transaction expenses" [2] |
| Forward purchase | up to 2.5M shares | "subject to definitive documentation" [2] |
| Shareholder rollover | 100% | "expected to roll" [2] |
Sources: FG Imperii Form 8-K and Ex. 99.1 [1][2]. Earn-out value is Le Coin's arithmetic.
The earn-out is split in two. Half the shares come due on regulatory or commercial progress in derivatives within four years of closing, including approval by the Commodity Futures Trading Commission of tZERO's "pending designated contract market and derivatives clearing organization applications" — licenses to run a futures exchange and a clearinghouse. The other half come due if the company achieves "positive aggregate Adjusted EBITDA," a measure of operating profit, for two separate three-month stretches in the year after closing [1]. Separately, the CFTC's public registry lists tZERO DCO, LLC as a registered derivatives clearing organization as of Oct. 16, 2026 [5]; the milestone itself is written around applications the agreement calls pending [1][3].
The pitch rests on what tZERO says it owns. The release describes a broker-dealer, an alternative trading system and transfer-agent services, and says its offering "is supported by more than 100 early-dated blockchain patents" [2]. That is tZERO's claim; the filing does not list them.
The objection
This is an agreement, not a done deal. The 8-K says closing is "subject to customary closing conditions, including, among others, approval of the transaction by the stockholders of the Company and the shareholders of FG Imperii, effectiveness of a registration statement on Form S-4" (the SEC filing that registers the new shares), expiration of any waiting period under U.S. antitrust law, accuracy of representations, approval of the shares "for listing on Nasdaq, the NYSE or NYSE American" (the release expects NYSE American, ticker "TZRO" [2]), and the absence of any order blocking it [1]. FG Imperii must also move its legal home from the Cayman Islands to Texas before the merger [1].
Timing is set loosely. The release says the deal "is expected to close in early 2027" [2]. Either side may walk away if conditions are not met by "March 15, 2027," the agreement's outside date, or if FG Imperii's shareholders vote it down [1][3]. tZERO says it already has "support agreements from shareholders representing approximately 62% of its capital, on a fully diluted basis" [2].
The tell (Le Coin's view)
In Le Coin's view, the tell is the redemption number, which will appear only when FG Imperii holds its shareholder vote. If most trust holders take their cash back, the "up to approximately $231 million" shrinks and the unfinished forward purchase matters much more. The Form S-4 is where tZERO's finances would first be set out in a filing; this one gives none.
Stop
tZERO has signed a merger with FG Imperii that values it at $350 million before new money, including $25 million in milestone shares. Up to about $231 million in trust could reach it, less redemptions and expenses. Votes, an SEC registration and a listing approval are still required. The companies expect to close in early 2027.
