Chipmaker Sequans raised $384 million for bitcoin. Now it holds none.

Sequans says it put the proceeds of a $384 million 2025 raise into bitcoin, then sold down from 1,514 BTC in March to zero by Sept. 30. It said its sales through March were made primarily to fund the redemption of convertible debt and a share buyback.

Chipmaker Sequans raised $384 million for bitcoin. Now it holds none.

Sequans Communications, a French maker of cellular chips for connected devices, raised $384 million in July 2025 to buy bitcoin and now holds none, according to its filings; it said its sales through March were made "primarily to finance the redemption of convertible debt and the Company's ADS buyback program" (ADS are its U.S.-traded shares) [4]. Its third-quarter results, filed with the SEC at 8:08 a.m. EST Nov. 3, give the first full accounting of that run: 1,514 BTC at March 31, none at Sept. 30 [1][4].

The exit itself is not new. Sequans announced on Sept. 24 that it had completed it, saying it had "no outstanding debt outside of that tied to government-financed R&D projects and no cryptocurrency holdings" [2]. Both announcements came in a Form 6-K, the report a foreign company listed in the U.S. files to pass along material news. What Tuesday's filing adds is the quarter-end confirmation that the company "no longer held any Bitcoin" and the final quarter's numbers [1].

The mechanism

On July 8, 2025, Sequans said it had closed a "total investment of $384 million" from more than 40 institutional investors [5]. It came in two pieces. One was $195 million from a PIPE, short for private investment in public equity, in which investors buy newly issued shares directly from a listed company. The other was $189 million of secured convertible debentures due 2028, which are loans the lender can swap for shares at a set price, here $2.10 per American depositary share [5]. "All net proceeds from the Offering will be used to purchase bitcoin," the company said [5].

The debt half is what shaped the unwind. A convertible note still has to be repaid in cash if it is not converted, and Sequans pledged part of its bitcoin against it: 1,217 BTC at March 31, when $66.2 million of the debt remained [4].

Between March 31 and April 30, remaining convertible debt fell to $35.9 million from $66.2 million, the company said [4]. The May release tied its sales in the fourth quarter of 2025 and the first quarter of 2026 to that redemption and to its buyback of American depositary shares [4]. By August, chief executive Georges Karam was referring to "the full redemption of our convertible debt in May" [3].

A realized gain or loss is the difference between what a company paid for an asset and what it got when it sold, as opposed to a paper change in value on coins still held. Sequans reported these results on its bitcoin sales by quarter:

QuarterRealized result on BTC sales
Q4 2025−$6.1M
Q1 2026−$11.7M
Q2 2026+$5.3M
Q3 2026+$6.2M

The company also booked unrealized impairments, write-downs on coins it still held, of $56.3 million in the fourth quarter of 2025 and $29.3 million in the first quarter of 2026 [4].

The balance sheet it describes now looks like a chip company's again. Cash and short-term deposits were $39.7 million at Sept. 30, up from $21.0 million at June 30, and the third-quarter net loss was $1.5 million, against $9.8 million in the second quarter [1][3]. "The completion of our Bitcoin treasury exit represents another important milestone, allowing us to enter the final quarter of 2026 with a significantly strengthened financial foundation, a simplified capital structure, and approximately $40 million in cash and short-term deposits and a nearly debt-free balance sheet," Karam said [1].

The objection

A fair objection is that this is one small company, not a verdict on the corporate bitcoin playbook. Sequans' last two quarters of sales were profitable on its own accounting, and the September release presented the exit under the heading "Pure-Play Semiconductor Focus" [1][2][3]. Bitcoin traded at $77,288 at 8:21 a.m. EST Tuesday, according to CoinGecko [6]. Companies that raised money mainly with stock, and carry little debt, face a different set of pressures.

The tell (Le Coin's view)

In Le Coin's view, the financing chose the ending. Sequans paired a share sale with a loan that had to be repaid, pledged coins against that loan, and then sold those coins to retire it, as its own releases describe. The line item that explained how this run ended was the debt sitting next to the coins, not the coin count.
