Securitize's new tokenized stocks are broker-held entitlements, by the company's own account
Securitize says its new tokenized stocks are security entitlements held at its broker-dealer; the terms come from the company's press release and product page, and no EDGAR filing describes them.
Securitize (NYSE: SECZ) launched tokenized versions of 12 U.S. stocks on Solana on Oct. 8, according to its press release. The release says each token is a security entitlement held through its broker-dealer, Securitize Markets, LLC. A security entitlement, under Article 8 of the Uniform Commercial Code, is a holder's claim to shares that a broker holds on their behalf. The token holder is not on Apple's shareholder register.
The release's own disclosure says it plainly: "Holders are not registered shareholders of the underlying issuer unless they convert." The release describes each token as backed one for one by an underlying share and as representing "a security entitlement under UCC Article 8."
Securitize Markets holds the shares, the token records your entitlement, and trades settle in USDC, a dollar stablecoin issued by Circle, on Solana, per the release and the product page at stocks.securitize.io. According to the release, Jump Trading will serve as a market maker on Securitize's existing Solana PropAMM, an on-chain trading pool priced by a professional market maker, and trading will initially be available during extended hours "with plans to move toward 24/7 availability." The company says the backing shares "will not be lent out."
Conversion is the route to registered ownership, and it is conditional. The release calls the structure a "convertible entitlement token": holders can move onto the issuer's register (the shareholder list kept by the company's transfer agent) "[w]hen a company adopts issuer-sponsored tokenization," and the release also says conversion is offered "where available." The same disclosure states that the underlying issuers "have not sponsored or endorsed Securitize Stocks."
The issuer catalog lists AAPL, AMZN, CRCL, GOOGL, META, MSFT, MSTR, NFLX, NVDA, PLTR, SPCX and TSLA, with SECZ itself trading alongside. The press release lists GOOG rather than GOOGL. The two documents don't agree on Alphabet's share class.
The filing record is thin. A full-text search of SECZ's EDGAR filings for "security entitlement" returned zero hits when we ran it at 12:33 p.m. ET on Oct. 9. SECZ's last 8-K, the form companies use for material events, was an amendment (8-K/A) accepted Aug. 13 at 5:01:10 p.m. ET. Since then it has filed two prospectus supplements (Form 424B3) the same afternoon, an S-8 registering stock for employee plans on Sept. 2, and insider-trading reports (Form 4) on Sept. 14. None of them mentions Securitize Stocks. Every legal term above comes from the company's release and product page. None of it comes from a filed customer agreement.
For scale, the latest numbers are the company's Q2 figures from that 8-K/A, not a new print. Average assets under management, the value of tokenized assets on its platform, were $4,255,841,108 for the quarter. Assets under administration, the assets it keeps fund records for, were $24.3 billion at June 30 across 663 funds. Q2 transaction volume was $5.3 billion, against $2.2 billion a year earlier. The filing says subscriptions and redemptions in BUIDL, BlackRock's tokenized fund, and BUIDL-I primarily drove that volume. This is a fund-tokenization business adding a brokerage product.
The venues that would make this a market are not live yet. The release says the tokens are "expected" to trade on NYSE's planned 24/7 venue and on the OKXICE Tokenized Securities Venue. Securitize's own disclosure: "The NYSE and OKXICE venues have not launched. Trading on those venues is subject to regulatory approval and venue review and may not occur." For now the only venue is Securitize's broker-dealer.
The best objection is that most U.S. investors already hold stocks this way, in "street name," where the broker is the registered holder and the customer holds an entitlement. A brokerage position is an Article 8 entitlement too. On that reading, Securitize has put street-name holding on a chain without share lending, which is cleaner than wrappers that only track a price. Fair point. It doesn't close the documentation gap.
The product page cuts the other way. It says the tokens "represent ownership of actual securities," while the release disclosure says holders aren't registered shareholders. Both can be true in a street-name sense. A desk underwriting the counterparty still needs the customer agreement, and that isn't on EDGAR.
What would change the view: a published or filed customer agreement that covers insolvency treatment and how dividends and votes pass through; a SECZ periodic filing that breaks out Securitize Stocks volume or assets; a first issuer converting holders under issuer-sponsored tokenization; either the NYSE or the OKXICE venue going live. Until then, we treat the exposure as being to Securitize Markets, LLC as much as to Apple.
