Nine companies block tokenized copies of their shares before launch

The SEC's tokenized-stock exemption gives issuers 30 days to object, and the objection list at the ICE and OKX venue grew from one to nine in 11 days, the venue's notices show.

Broadcom, Verizon and UnitedHealth are among nine companies that have told a new trading venue owned by Intercontinental Exchange and OKX that it may not offer tokenized versions of their shares, using a veto the SEC wrote into its tokenized-stock exemption last month. Each objection shrinks what the venue can offer before it opens and shows that listed companies, not only regulators, will decide how far onchain stock trading goes.

The names have been public since the venue's Oct. 15 notice. The count is the news underneath: one objector on Oct. 4, four on Oct. 8, nine on Oct. 15 (sources 1 to 3). The venue's notice page now lists a version dated Oct. 19 as "Latest," but no document was linked when Le Coin checked at 9:25, 9:26 and 9:31 a.m. ET (source 4).

How the veto works

A tokenized stock is a blockchain token tied to a share of an exchange-listed U.S. company; at this venue, an unaffiliated tokenizer holds the shares one for one through a registered broker-dealer, and each token is an entitlement to one share (source 3). The SEC's Sept. 22 order lets new venues trade these tokens without registering as exchanges, on conditions (source 5).

One condition protects the company whose shares are being copied. Before offering a token made by a third party unaffiliated with the issuer, the venue must send that issuer an "Issuer Notice." Trading "may not commence until at least 30 calendar days from the date when the issuer receives the Issuer Notice" (source 5). If the issuer objects in writing by the 30th day, "the TSV cannot make such Tokenized NMS Stock available for trading on the TSV," and the venue must amend its public notice "within five business days" (source 5). TSV is the order's term for a tokenized securities venue.

The SEC named the worries it had in mind. An issuer "may be concerned about the risk of maintaining its shareholder register related to onchain transfers or the potential price dislocation or adverse effects on the price of the underlying NMS stock," the order says, "particularly given that prices disseminated by an AMM Liquidity Pool are most likely based only on the ratio of the quantities of assets in that liquidity pool" (source 5). An AMM, or automated market maker, sets prices by formula from the tokens deposited in a pool rather than by matching buy and sell orders.

That matters here because the venue has no order book. OKXICE LLC, a 50/50 joint venture of ICE and OKC USA Holding, says its venue trades tokenized stocks against "a payment stablecoin (either USDC, USDG, or USDT)" in Uniswap v4 pools on XLayer, a layer-2 blockchain that OKX built to run on top of Ethereum, and "does not operate an order book" (sources 3 and 6).

What the notices show

The objection list grew in three steps, all disclosed in the venue's own notices.

Notice date Objectors named Names added
Oct. 4 1 Cerebras Systems
Oct. 8 4 AppLovin, Applied Digital, Rocket Lab
Oct. 15 9 CoreWeave, Verizon, Applied Optoelectronics, Broadcom, UnitedHealth

The table shows the list more than doubling in each of the last two notices. The first notice shows how much of the planned menu the objectors cover. On Oct. 4 the venue named the stocks it planned to offer, a list of 63 by Le Coin's count, including Broadcom, Verizon, UnitedHealth, Rocket Lab and CoreWeave (source 1). Eight of the nine objectors were on that list; Cerebras was not. The Oct. 8 and Oct. 15 notices drop the named list and say only that the venue "will make available for trading Tokenized NMS Stocks that are tokenized by a third party unaffiliated with the issuer" (sources 2 and 3).

None of the nine companies has explained its objection in the documents Le Coin reviewed.

The case that this is noise

Eight of the 63 planned stocks drew objections, which leaves most of the menu intact, and Nvidia, Apple and Microsoft, all on the Oct. 4 list, are not among the objectors (sources 1 and 3).

In Le Coin's view, the count matters less than who is on it. Broadcom, Verizon and UnitedHealth are large, widely held companies with no obvious crypto angle, and their objections show that a veto designed as a safeguard can work as a quiet opt-out for any issuer that prefers its stock trade only where it already does.

What to watch

The Oct. 19 notice is the next test: a longer objection list, a final menu of stocks or a launch date would each change the picture. The venue itself remains in waiting; its page says "OKXICE TSV is coming" (source 4). Three questions stay open: whether any 30-day window is still open, since the notices do not say when each issuer received its Issuer Notice; whether other venues using the same exemption publish objection lists of their own; and whether companies with their own tokenization plans treat third-party copies differently.

Update, Oct 20: OKXICE's Oct 19 notice adds Microsoft to the list of objecting companies; Nvidia and Apple are still not among them.
