Citi Cuts Securitize to Neutral, Raises Target to $14, The Fly Reports

Citi moved Securitize from Buy to Neutral on Oct. 13 and lifted its price target from $10 to $14, The Fly reports. Neither Citi nor Securitize has confirmed the change, and Le Coin has not seen the note.

Citi cut its rating on Securitize, the tokenization company that went public through a merger with a Cantor-sponsored blank-check company on July 1, to Neutral from Buy on Tuesday while raising its price target to $14 from $10, The Fly reports. A price target is an analyst's estimate of where a share will trade in about a year, so Citi lifted its estimate of the stock's value while stepping back from recommending it.

That split is the story. The Fly says "Citi cites the recent share rally for the downgrade." In Le Coin's view, the higher target with a lower rating is the part worth reading closely.

What the note says, as reported

Citi has not published the note, and this desk has not seen it. Neither Citi nor Securitize has confirmed the rating change. The Fly's account is the only source for the $14 target. It says the firm "adjusted ratings in the digital asset group as part of a Q3 earnings preview," and that the sector enters earnings season with a "considerably stronger backdrop" than a few months ago. Citi, per The Fly, favors companies around tokenization and market infrastructure, with a preference for "AI-enabled infrastructure stories."

The price moved before the note

Securitize shares closed Monday at $11.86, down 14.18%, according to StockAnalysis. That close came before the note. In pre-market trading Tuesday, the stock was quoted at $11.34 at 8:47 a.m. ET, down 4.38%, according to StockAnalysis. Pre-market trading is typically thin.

What the company's own filings add

The objection is that this is a single analyst call. On its own, it is. Securitize's own filings add one disclosure that ties share supply to the share price.

The company's 10-Q for the second quarter says its merger with Cantor Equity Partners II closed on July 1, 2026. Lock-up agreements restrict transfers of the covered shares for 180 days, "subject to early release of one-third of the covered shares if the volume-weighted average price of the Common Stock exceeds $15.00, $17.50 and $20.00, respectively, in each case for 20 out of any 30 consecutive trading days commencing 90 days after the Closing Date." The sponsor's own lock-up uses lower steps of $12.50, $15.00 and $17.50.

Neither Citi, as reported, nor The Fly links the downgrade to those thresholds, and the filing is the company's description, not a forecast. Le Coin does not say whether any has been met.

EDGAR shows no Securitize 8-K filed on Oct. 12 or 13. The most recent filings are three Form 4 insider reports dated Sept. 14.

The tell

What would change the read is the quarter itself. Citi framed this as an earnings preview, according to The Fly, so the numbers will test it.

The checkable fact, per the 10-Q: one-third of the covered shares can be released early if the volume-weighted average price "exceeds $15.00" for "20 out of any 30 consecutive trading days," and one-third of the sponsor's shares if it "exceeds $12.50."

The 10-Q sets the lock-up at 180 days after the July 1 closing, which by Le Coin's count is Dec. 28, 2026.
