Strategy shareholders approve daily dividends for STRF, STRC, STRK, STRD
An 8-K Item 8.01 sets STRC's daily record-date schedule from Nov. 1, 2026 and STRF, STRK and STRD from Jan. 1, 2027, subject to amended certificates taking effect; company X cites 99.3% preliminary support.
Strategy Inc on Oct. 28, 2026 filed an 8-K saying a special meeting of common stockholders that day produced the preliminary requisite vote to amend and restate the certificates of designations for its STRF, STRC, STRK and STRD preferreds so those series can pay daily dividends [1]. Subject to those amended certificates being filed and taking effect, the 8-K sets a daily record-date schedule starting Nov. 1, 2026 for STRC and Jan. 1, 2027 for STRF, STRK and STRD [1]. In a same-day company post on X, Strategy said preliminary results showed 99.3% of votes cast in favor; that percentage is company-stated and is not in the 8-K body [2].
This piece is only the Daily Dividends Item 8.01 story. It is not the firm's Q3 earnings calendar (Thursday, Oct. 29, 5 p.m. ET), not an STRC repurchase update, and not a bitcoin-treasury holdings post [1][2].
What the 8-K puts on the calendar
The filing is Form 8-K, Item 8.01 Other Events, AccNo 0001193125-26-435451, accepted Oct. 28, 2026 at 10:28:08 a.m. ET [1]. The special meeting's common-stock record date was Sept. 25, 2026 [1]. Based on preliminary voting results, the company says the requisite vote of issued and outstanding common stock as of that record date approved amended and restated certificates of designations for each of four preferred series: STRF (10.00% Series A Perpetual Strife), STRC (Variable Rate Series A Perpetual Stretch), STRK (8.00% Series A Perpetual Strike) and STRD (10.00% Series A Perpetual Stride), to permit daily dividends [1]. MSTR Class A common also appears on the cover as Nasdaq Global Select [1].
The schedule change is conditional. The 8-K states that, subject to the filing and effectiveness of those amended certificates, the new daily dividend schedule is effective Nov. 1, 2026 for STRC Stock and Jan. 1, 2027 for STRF, STRK and STRD Stock [1]. Under that schedule, the instruments have a dividend record date on every calendar day, including weekends and market and bank holidays [1].
Company X on the vote and first payments
@Strategy posted at about 10:33 a.m. ET that shareholders had approved the Daily Dividends amendment, that preliminary results showed 99.3% of votes cast in favor, and that the amendment enables STRF, STRC, STRK and STRD to accrue dividends every calendar day [2]. A same-second follow-up said every calendar day will be a record date, with payment on the next business day; for STRC the first record and payment dates are Nov. 1 and Nov. 2, and for STRF, STRK and STRD they are Jan. 1 and Jan. 4 [3]. Those first payment dates come from company X, not from the 8-K effective-date sentence [1][3].
The company X post links a strategy.com press URL titled, on the X card, "Strategy Announces Approval of the Daily Dividends Amendment" [2][4]. Pack fetch returned HTTP 403, so this draft does not extract press-page body claims; EDGAR and company X carry the checkable record for this pass [4].
How DTC and Nasdaq cluster holiday record dates
For DTC-cleared shares, a weekend or DTC-holiday record date is deemed the immediately preceding non-DTC-holiday day [1]. On Nasdaq, the ex-dividend date is generally the record date if that day is a trading day, otherwise the immediately preceding business day [1]. Consecutive holiday record dates therefore share one DTC record date, one Nasdaq ex-dividend date, and one payment date [1].
The filing's example is Nov. 6, 7 and 8, 2026 (Friday through Sunday): DTC and Nasdaq treat Friday, Nov. 6 as the shared record and ex-dividend date, and all three dividends pay Monday, Nov. 9 [1]. Under T+1, the company expects a Friday buy gets none of the three and a Friday sale still gets all three [1]. Non-DTC shares, other venues, and individual brokers may differ; the filing says investors should consult their brokers [1].
The objection
The 8-K reports preliminary voting results and a requisite vote, not a final certified share tally, and it does not contain the 99.3% figure that appears only on company X [1][2]. The daily schedule is expressly subject to filing and effectiveness of the amended certificates, so this draft does not treat daily dividends as already live [1]. Pack fetch of the linked press page returned HTTP 403, so press-room prose beyond the linked title is not a primary here [4]. The filing and company posts also do not publish per-share dividend dollars or yield math beyond the cover coupon names [1][2][3].
The tell
In Le Coin's view, the tell is whether Strategy files the amended certificates of designations and they become effective on the 8-K dates: Nov. 1, 2026 for STRC and Jan. 1, 2027 for STRF, STRK and STRD [1]. A second tell is whether STRC's first record and payment (Nov. 1 / Nov. 2) and the Jan. 1 / Jan. 4 cadence for STRF, STRK and STRD print as company X stated once those certificates are effective [3]. Until then, Oct. 28 is a preliminary-vote 8-K plus company X on preferred daily-dividend mechanics, not a live yield story and not the firm's separate Q3 call.
