Strive Buys 2,822 Bitcoin; Warrant Exercises Expected to Raise $369.2 Million
In an 8-K filed Oct. 14, Strive said holders exercised all remaining PIPE traditional warrants for expected gross proceeds of $369.2 million, and that it bought 2,822 bitcoin at about $83,266 each, both from Oct. 12 through Oct. 13.
Strive bought 2,822 bitcoin from Oct. 12 through Oct. 13, the same two days that warrant exercises were expected to bring in $369.2 million in gross proceeds, according to a Form 8-K the company filed at 7:59 a.m. ET on Oct. 14 (sources 1, 2). The overlap in timing is the point for portfolio managers; the filing itself does not tie the two together.
The warrant leg came first in the filing. "[F]rom the period of October 12, 2026 through October 13, 2026, 273,493,909 traditional warrants to purchase 13,674,703 shares of Class A common stock were exercised for expected gross proceeds of $369.2 million," the company said (source 2). That works out to about 20 warrants per share and about $27.00 of cash per new share, by Le Coin arithmetic.
The PIPE warrant overhang is now gone. "As of close of business on October 13, 2026, there were no traditional warrants issued in connection with the Company's PIPE transaction remaining outstanding," the filing states (source 2). The filing does not say whether every remaining warrant was exercised or how many shares are now outstanding.
The bitcoin leg covered the same dates. Strive "purchased 2,822 bitcoin at an average price of approximately $83,266 per bitcoin, inclusive of fees and expenses," from Oct. 12 through Oct. 13 (source 2). Multiplying the two gives an implied cost of about $235.0 million. That is Le Coin arithmetic; the filing does not state a total.
| Strive 8-K, Oct. 14, 2026 | Amount |
|---|---|
| Traditional warrants exercised (Oct. 12 to Oct. 13) | 273,493,909 |
| Class A shares issued on exercise | 13,674,703 |
| Expected gross proceeds | $369.2 million |
| PIPE traditional warrants outstanding, close Oct. 13 | None |
| Bitcoin purchased (Oct. 12 to Oct. 13) | 2,822 |
| Average price, incl. fees and expenses | ~$83,266 |
| Implied purchase cost (Le Coin arithmetic) | ~$235.0 million |
Set side by side, the numbers leave a gap. The implied $235.0 million spend is about 64% of the expected $369.2 million in gross proceeds, leaving roughly $134.2 million, all Le Coin arithmetic before any fees on the warrant side.
The objection
The filing does not connect the two. It reports the warrant exercises and the bitcoin purchase as separate announcements and never says the proceeds paid for the coins (source 2). The proceeds are also described as "expected," so the cash may not all have arrived when the bitcoin was bought. Funding by warrant cash is an inference from timing, not a disclosure.
The filing also omits what a PM would want next. It gives no total bitcoin holdings, no updated share count and no use-of-proceeds language, so this piece states none of them.
The tell
The next filing is the tell. If Strive reports the $369.2 million as received and discloses how it was used, readers will know whether the warrant cash paid for the coins. The PIPE traditional warrants are no longer outstanding, so this source of cash will not repeat.
